TERMS AND CONDITIONS

1. AGREEMENT TO TERMS
By accessing, purchasing, or participating in any products, services, or programs offered by Post Worthy Academy ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions, including the Confidentiality Agreement contained herein. If you do not agree to these terms, do not purchase or participate in our programs.
2. SERVICES OFFERED
Post Worthy Academy offers the following services:
Training Program: Video-based instruction and certification for operating a balloon delivery business
Store Build: Done-for-you Shopify store development with delivery integration
Wholesale Access: Specialty supplies available exclusively to certified partners
3. PAYMENT TERMS
3.1 Deposits
Deposits are required to secure your position in a Launch Group
Deposits are applied toward your total program fee
Deposits are non-refundable once submitted, except as outlined in Section 4
3.2 Full Payment
Full payment is required according to the schedule provided at enrollment
All prices are in US Dollars (USD)
Payment plans, if offered, must be completed according to the agreed schedule
3.3 Accepted Payment Methods
Payments are processed securely through our payment provider
We accept major credit cards and approved payment methods as displayed at checkout
PayPal Pay Later is available for qualified buyers
4. REFUND POLICY
4.1 All Sales Final
All sales are final. No refunds will be issued for any products or services, including but not limited to:
Training program fees
Store Build fees
Wholesale inventory purchases
Deposits
4.2 Company Cancellation
In the event that Post Worthy Academy is unable to deliver the purchased services:
Deposits will be refunded in full
Payments made toward undelivered services will be refunded
Refunds will be processed within 30 days to the original payment method
4.3 Damaged Goods (Wholesale Only)
Damaged goods received through wholesale orders may be returned for replacement
Damage must be reported within 7 days of delivery with photographic evidence
Replacement items will be shipped at no additional cost
5. TRAINING PROGRAM
5.1 Access and Delivery
Training is delivered via video instruction through our online platform
Access is granted upon receipt of payment
Training is self-paced with no mandatory completion timeline
Access is for lifetime duration, subject to compliance with these Terms
5.2 Certification
Certification is granted upon successful completion of the training program
Certification is required to access Wholesale pricing and products
Certification may be revoked for violation of these Terms
5.3 Account Sharing
Account credentials may be shared only with business partners who have jointly purchased the program
Account sharing is limited to individuals operating the same balloon delivery business
Sharing credentials with individuals outside your business partnership is prohibited
5.4 Prohibited Use of Training Materials
You are strictly prohibited from:
Reproducing, copying, or duplicating any training content
Distributing training materials to any third party
Uploading, posting, or sharing training content on YouTube, social media, or any public platform
Creating derivative works based on our training content
Using our training materials to create your own course, training program, or educational product
Reselling or licensing access to our training materials
Violation of these terms will result in:
Immediate revocation of program access without refund
Revocation of certification and wholesale access
Legal action to recover damages, including attorney fees and costs
6. STORE BUILD SERVICES
6.1 Scope of Work
Store Build includes custom Shopify store development as outlined in your service agreement
Specific deliverables will be confirmed prior to project commencement
6.2 Client Responsibilities
Client is responsible for providing necessary materials including but not limited to: logo, brand assets, product information, and content
Delays in providing required materials will result in delays to the project timeline
Post Worthy Academy is not responsible for timeline delays caused by Client
6.3 Timeline
We aim to complete Store Builds within approximately 30 days of project commencement
Timeline begins when all required materials are received from Client
No timeline guarantee is expressed or implied
Store builds are completed in order of payment received
6.4 Live Revision Policy
The Store Build includes one (1) Live Revision session conducted via video conference (up to 2 hours). All design changes and edits must be requested and implemented during this live session.
Once the Live Revision session concludes, the site design is considered Final Approval.
Any additional edits requested after Final Approval will be billed at our then-current hourly rate.
6.5 Ownership
Upon completion and final payment, Client owns 100% of their Shopify store
Client is responsible for ongoing Shopify subscription fees and third-party service costs
Post Worthy Academy retains no ownership interest in the completed store
6.6 Production Scheduling
Store Builds are executed in designated Production Cycles based on your assigned Launch Group.
Your Production Start Date will be assigned upon receipt of your deposit. You acknowledge that:
Onboarding materials may be collected in advance of your Production Start Date
Active development will commence on your assigned Production Start Date, not upon payment
Communication regarding your build will align with your Production Cycle
Production Cycles are scheduled to ensure quality and dedicated attention for each build.
7. WHOLESALE ACCESS
7.1 Eligibility
Wholesale access is exclusively available to certified Post Worthy Academy partners
Certification must remain in good standing to maintain wholesale access
7.2 Purchases
All wholesale purchases are final sale
No returns or exchanges except for damaged goods as outlined in Section 4.3
Inventory packages and individual orders are non-refundable
7.3 Pricing
Wholesale pricing is exclusive to certified partners
Prices are subject to change without notice
Partner pricing may not be advertised or disclosed publicly
8. MARKET CONSIDERATIONS
8.1 No Exclusive Territory Guarantee
Post Worthy Academy does not guarantee exclusive rights to any geographic market or territory.
8.2 Market Evaluation
We are committed to the success of our partners. As part of that commitment:
We evaluate market density when reviewing applications
We aim to avoid oversaturating any single market
Each application is reviewed on a case-by-case basis
8.3 Exceptions and Reservations
Post Worthy Academy reserves the right to accept multiple partners in the same market under circumstances including but not limited to:
Large metropolitan areas (e.g., Los Angeles, New York City) where one business cannot reasonably service the entire market
Partner inactivity: If a certified partner ceases operations, discontinues their business, or fails to actively operate for a period of 6 months or more
Market demand: When market demand exceeds the capacity of existing partners
Partner termination: If a partner's certification is revoked for any reason
8.4 No Territorial Claims
Certification does not grant territorial rights
Partners may not make claims of market exclusivity against Post Worthy Academy or other partners
Partners acknowledge that market conditions and partner status may change over time
8.5 Good Faith Commitment
While we do not guarantee exclusivity, we are committed to:
Thoughtful evaluation of each application
Honest communication about market density
Supporting the success of all partners to the best of our ability
9. INTELLECTUAL PROPERTY
9.1 Post Worthy Academy Content
All training materials, videos, documents, templates, systems, and processes are the exclusive intellectual property of Post Worthy Academy and THE HOLIDAY DESIGN CO, LLC.
9.2 Permitted Use
Certified partners are granted a limited, non-exclusive, non-transferable license to:
Use the designation "Post Worthy Certified" in connection with their balloon delivery business
Apply techniques and knowledge learned in the training to their own business operations
9.3 Prohibited Use
Partners may not:
Use the "Post Worthy Events" brand name, logo, or trademarks
Represent themselves as employees, agents, or representatives of Post Worthy Academy or Post Worthy Events
Use Post Worthy Academy branding beyond the "Post Worthy Certified" designation
9.4 Your Content
You retain ownership of all content you create for your own business
Photos, videos, and marketing materials you create are yours
Your business name, brand, and customer relationships are yours
10. CONFIDENTIALITY AGREEMENT
10.1 Purpose
This Confidentiality Agreement protects the proprietary information shared within Post Worthy Academy and ensures every partner in the network can operate without the risk of their market being compromised by publicly shared materials.
By completing payment, you acknowledge the value of the confidential information being shared and agree to protect it.
10.2 Definition of Confidential Information
"Confidential Information" includes, but is not limited to:
Training content, video modules, and course materials
Pricing strategies and profit margin breakdowns
Supplier names, contacts, and wholesale pricing
Product designs, collections, and customization methods
Digital infrastructure setup, configurations, and tech stack
Internal documents, guides, templates, and resources
Business strategies, marketing approaches, and operational systems
Community discussions and partner-shared insights
Confidential Information does not include information that:
Is publicly available through no fault of yours
Was already known to you prior to enrollment
Is independently developed by you without use of Confidential Information
Is disclosed with prior written consent from Post Worthy Academy
10.3 Permitted Use
You are permitted to use Confidential Information solely for the purpose of building and operating your own business.
You are granted a limited, non-transferable license to apply the training, strategies, and resources to your personal business operations.
10.4 Obligations
You agree to:
Keep all Confidential Information strictly confidential
Use Confidential Information only for your own business
Not share, distribute, reproduce, or publicly post any Confidential Information
Not disclose Confidential Information to any third party without prior written consent from Post Worthy Academy
Take reasonable measures to protect the confidentiality of the information
You agree NOT to:
Share training materials, videos, or documents with non-partners
Post proprietary strategies, pricing, or supplier information on social media, public forums, or online groups
Discuss confidential methods publicly in a way that exposes techniques to competitors
Use Confidential Information to help others replicate or compete with Post Worthy Academy or its partners
10.5 Why This Matters
This is not about secrecy. This is about protection.
Every partner in this network is investing in a unique market opportunity. When information is shared publicly, it dilutes the value for everyone.
Your market advantage depends on this staying inside the network. This Agreement protects you and every other partner.
10.6 Duration
This Confidentiality Agreement remains in effect indefinitely, even after your participation in the program ends.
Your obligation to protect Confidential Information survives the termination of your enrollment.
10.7 Return of Materials
Upon request or upon termination of your participation, you agree to:
Return or destroy all Confidential Information in your possession
Delete any digital copies of proprietary materials
Confirm in writing that you have complied with this section
10.8 Breach of Confidentiality
If you are found to have violated this Confidentiality Agreement, Post Worthy Academy reserves the right to:
Revoke access to all training materials and resources
Remove you from the partner network and community
Terminate any ongoing services without refund
Pursue legal remedies, including injunctive relief and damages
You acknowledge that a breach of this Agreement may cause irreparable harm to Post Worthy Academy and its partners, and that monetary damages may be insufficient. Therefore, Post Worthy Academy may seek injunctive relief in addition to any other remedies available.
11. ASSUMPTION OF RISK AND LIABILITY
11.1 Independent Business Owner
You acknowledge that you are an independent business owner and not an employee, franchisee, or agent of Post Worthy Academy.
Post Worthy Academy provides training, resources, and digital infrastructure to support your business. You are solely responsible for the operation of your business.
11.2 Your Responsibilities
You are solely responsible for:
Safe handling, storage, and use of helium and all materials
Product quality and fulfillment
Delivery execution and customer satisfaction
Compliance with local laws, permits, licenses, insurance, and safety regulations
Payment of applicable taxes and business fees
Your business name, branding, and legal entity
Your pricing and profit margins
Your customers and service quality
11.3 Helium and Materials
POST WORTHY ACADEMY IS NOT RESPONSIBLE FOR ANY INJURIES, DAMAGES, LOSSES, OR CLAIMS ARISING FROM HELIUM MISUSE, IMPROPER HANDLING, OR ANY ACTIVITIES RELATED TO HELIUM STORAGE, TRANSPORTATION, OR INFLATION.
You acknowledge that helium handling requires proper safety precautions and you assume all risks associated with its use.
11.4 Delivery and Fulfillment
POST WORTHY ACADEMY IS NOT LIABLE FOR ANY ISSUES ARISING FROM YOUR DELIVERY OPERATIONS, INCLUDING BUT NOT LIMITED TO:
Damaged or defective products delivered to your customers
Late or missed deliveries
Customer complaints or disputes
Injuries sustained during delivery activities
Vehicle accidents or incidents during delivery
You are solely responsible for the quality and execution of your delivery operations.
11.5 No Guarantee of Results
Post Worthy Academy does not guarantee income, sales, or business success. Results vary based on market, effort, and execution.
By enrolling in this program, you acknowledge that you are an independent business owner and assume full responsibility for your operations.
12. DISCLAIMER OF GUARANTEES
12.1 No Income Guarantee
POST WORTHY ACADEMY MAKES NO GUARANTEES REGARDING INCOME, REVENUE, OR BUSINESS SUCCESS.
We provide the complete system, training, tools, and support based on years of trial and error. This represents a substantial head start. However:
Your results depend entirely on your own effort, work ethic, and execution
Individual results vary based on market conditions, competition, effort, and numerous other factors
Past performance of Post Worthy Events or other partners does not guarantee your future results
This is not a "get rich quick" program — it requires real work and dedication
12.2 Business Risks
You acknowledge that:
Starting and operating a business involves inherent risks
Success is not guaranteed regardless of training or support provided
You are solely responsible for your business decisions and outcomes
13. LIMITATION OF LIABILITY
13.1 Maximum Liability
To the maximum extent permitted by law, Post Worthy Academy's total liability to you for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to Post Worthy Academy in the twelve (12) months preceding the claim.
13.2 Exclusion of Damages
Post Worthy Academy shall not be liable for any:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, business opportunities, or goodwill
Business interruption or loss of data
Any damages arising from your reliance on our services or content
13.3 Physical Injury Disclaimer
POST WORTHY ACADEMY IS NOT RESPONSIBLE FOR ANY PHYSICAL INJURY, BODILY HARM, OR PERSONAL INJURY that may occur during your operation of a balloon delivery business, including but not limited to:
Injuries sustained while handling supplies or equipment
Injuries related to helium handling or balloon inflation
Injuries from lifting, carrying, or delivering products
Any other physical injury related to your business operations
You acknowledge that operating a balloon delivery business involves physical activity and you assume all risks associated with such activities.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Post Worthy Academy, THE HOLIDAY DESIGN CO, LLC, and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
Your breach of these Terms
Your operation of your balloon delivery business
Your violation of any law or third-party rights
Any claims made by your customers, employees, or contractors
15. TERMINATION
15.1 Termination by Company
Post Worthy Academy may terminate your access to any or all services immediately and without notice if:
You breach any provision of these Terms
You engage in prohibited use of training materials
You breach the Confidentiality Agreement
You misrepresent your affiliation with Post Worthy Academy
You engage in conduct that damages our reputation or business
15.2 Effect of Termination
Upon termination:
All rights and licenses granted to you will immediately cease
You must cease use of all Post Worthy Academy materials and the "Post Worthy Certified" designation
No refunds will be issued for any fees paid
Wholesale access will be revoked
Your obligation to protect Confidential Information remains in effect
16. DISPUTE RESOLUTION
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.
16.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
Arbitration shall take place in Las Vegas, Nevada
The arbitrator's decision shall be final and binding
Judgment on the award may be entered in any court of competent jurisdiction
16.3 Class Action Waiver
You agree to resolve any disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Post Worthy Academy.
16.4 Attorney Fees
In any dispute arising from these Terms, the prevailing party shall be entitled to recover reasonable attorney fees and costs from the non-prevailing party.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, including the Confidentiality Agreement contained herein, constitute the entire agreement between you and Post Worthy Academy regarding the subject matter herein and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
17.5 Modifications
Post Worthy Academy reserves the right to modify these Terms at any time. Material changes will be communicated to active participants. Continued participation after changes constitutes acceptance of the modified Terms.

BY PURCHASING OR PARTICIPATING IN POST WORTHY ACADEMY PROGRAMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING THE CONFIDENTIALITY AGREEMENT CONTAINED HEREIN.
